Draft for legal review. These terms describe how the Vively website works today. Items marked TODO need a business decision or legal wording, and the whole document should be reviewed by a qualified professional before it is treated as final.

1. About these terms

These Terms of Service ("Terms") are an agreement between you and Vively (business registration no. 486-56-00588, Seongsu-dong, Seoul; full business details are in section 1 of the Privacy Policy). They apply to vivelyglobal.com, the creator account features (My Page, campaign applications, referrals) and the brand portal (brand dashboard, campaign submission, creator search).

By creating an account, applying to a campaign or submitting a campaign you agree to these Terms and confirm that you have read the Privacy Policy. If you do not agree, do not use those features.

Vively is a marketplace and coordination service: it connects creators with brands and helps run campaigns. Unless a separate written agreement says otherwise, the brand is responsible for the campaign it offers (including delivering the stated reward) and the creator is responsible for the content they produce.

2. Eligibility & accounts

  • Creators must be at least 17 years old TODO (legal): confirm minimum age / guardian-consent rules and must provide accurate profile information, including a real Instagram account that they control.
  • Brand accounts may only be created on behalf of a registered business by someone authorised to act for it. Brand accounts are reviewed by Vively before access is granted and may be declined without giving a reason.
  • One person may hold one creator account. Keep your password confidential; you are responsible for activity under your account until you tell us it has been compromised.
  • You must keep your account information accurate and up to date. We may suspend accounts with false information.

3. Creators

3.1 Profile visibility

Your creator profile (the fields listed in Privacy Policy section 4.1) is shown to approved brand partners so they can invite you to campaigns. This is a core part of the service and you consent to it at sign-up. Your email address and phone number are only shared with a brand when you apply to that brand's campaign.

3.2 Applications

  • Applying to a campaign is an expression of interest. Brands and Vively decide who is selected; there is no guarantee of selection.
  • You can withdraw a pending application from My Page. TODO (business): what happens if a creator withdraws after being approved, or does not deliver the agreed content.
  • If selected, follow the campaign guidelines shown on the campaign page and any brief you receive. Deliverables, deadlines and rewards are set by the brand for each campaign.

3.3 Content and disclosure

Content you post about a campaign must be truthful, must not infringe anyone's rights, and must comply with the advertising-disclosure rules that apply to you and your audience (for example clearly labelling sponsored or gifted content). TODO (legal): reference the specific rules to follow, e.g. Korea Fair Trade Commission guidelines on recommendations/endorsements and the US FTC Endorsement Guides, and the exact wording/labels creators must use.

4. Brand partners

  • Campaigns you submit must be accurate and lawful, and must describe the experience, deliverables, requirements and reward honestly. Vively reviews campaigns before they are published and may edit, reject or unpublish them.
  • You must provide the reward described in the campaign to every creator you select. TODO (business): who pays creator rewards (brand directly or via Vively), and when.
  • Creator data: information about creators that you see through the brand portal (search results and applications) may be used only to evaluate, invite and run your Vively campaigns. You may not export it, use it for other marketing, share it with third parties, or contact creators for unrelated purposes. You must protect it and delete it when it is no longer needed for the campaign.
  • Creator invitations and messages sent through the portal must be professional and related to the selected campaign.
  • Vively's service fees and payment terms are agreed separately in writing with each brand. See section 5.

5. Rewards, fees & cancellation

Vively does not process payments through this website. Creator rewards, brand service fees, invoicing, cancellation and refund terms are described in the Rewards, Fees & Cancellation Policy, which forms part of these Terms.

6. Referral programme

Every creator account receives a referral code and link. When someone creates an account using your code, we record the referral and notify you. TODO (business): state whether referrals earn any reward or benefit, any conditions, and that codes may not be posted in spam or misleading contexts. Vively may remove referral credits obtained through fake accounts or abuse.

7. Content & intellectual property

  • You keep ownership of the profile information, images and content you provide. You give Vively a licence to store, display and share it as needed to run the service (for example showing your profile to brands).
  • TODO (business/legal): licence terms for campaign content — what rights the brand and Vively receive in content created for a campaign, for how long, and whether it may be reused in Vively's own marketing (e.g. the "Our Work" case studies).
  • The Vively name, logo and website design belong to Vively. Brand names and logos shown on the site belong to their owners and are used to describe past or current campaigns.

8. Acceptable use

You must not: provide false identity or business information; create accounts for other people; upload malware or unlawful content; scrape or bulk-copy creator or brand data; attempt to bypass verification, rate limits or access controls; harass other users; or use the service for anything illegal.

9. Suspension, termination & deletion

  • You can delete your creator account at any time from My Page (email confirmation required). What is deleted and what is anonymised is described in Privacy Policy section 6. Brand accounts can be closed by emailing us.
  • Vively may suspend or close accounts that break these Terms, provide false information, or are inactive for a long period. Where reasonable we will tell you why.
  • Sections that by their nature should survive (content licences already granted, liability, governing law) continue after termination.

10. Disclaimers & liability

The service is provided as-is. Vively does not guarantee that campaigns will be available, that you will be selected, or that a brand or creator will perform. TODO (legal): limitation-of-liability and indemnity wording appropriate to the governing law, including any mandatory consumer-protection carve-outs.

11. Governing law & disputes

TODO (legal): governing law (expected: Republic of Korea), competent court, and whether an out-of-court dispute-resolution step applies.

12. Changes & contact

We may update these Terms. Material changes will be announced on the site or by email at least TODO: notice period (e.g. 7 days; 30 days for changes unfavourable to users under Korean e-commerce rules) before they take effect. Continued use after that date means you accept the new Terms.
